On February 4, 2025 the Board of Directors (the “Board”) of StepStone Group Inc. (the “Company”) approved amendments to the Company’s Code of Conduct and Ethics (“Code of Ethics”). The amendments to the Code of Ethics clarify that in addition to disinterested directors being able to determine that the Company will not pursue a corporate opportunity for purposes of the Code of Ethics, if a board or a committee of the board provide a waiver of any corporate opportunity, any covered person may proceed with such opportunity under the Code of Ethics.

On May 21, 2024 the Board of the Company approved amendments to the Code of Ethics. The amendments to the Code of Ethics make clear that individuals subject to the Code of Ethics may voluntarily communicate with various government agencies and also update titles of certain individuals at the Company.
